Appendix 1 Terms and Conditions Background The Charity is Mercy Mission UK (registered charity number 1122922) whose registered office is at 203 Westgate, Bradford BD1 3AD, with the object of furthering such charitable purposes or charitable organisations as the Trustees think fit. The Recipient as listed on the application form. Purpose and Use of Grant The Recipient understands that the Grant is expressed as a maximum sum and is not a guaranteed payment. The Grant is conditional on the satisfactory use of the monies and on compliance with the terms of this Agreement. In the event that the Grant is restricted, the Recipient shall not make any substantive change to the Project or the staff structure of the Project without the Charity’s prior written agreement. The Recipient shall account for the Grant monies and ensure that they shall not at any time change the purpose and use of the Grant. Accounts and Records The Recipient shall: Maintain complete and accurate records of, and supporting documentation for, its use of the Grant and ensure that it is spent in accordance with the terms of this Agreement. Such records shall be retained by the Recipient for inspection by the Charity for 5 years from the end of the financial year to which the records relate. Monitoring and Reporting The Recipient shall closely monitor the use of the Grant throughout the Grant Period to ensure that the purposes for which the Grant is given are being met and that the terms of this letter are being adhered to. The Recipient shall send the Charity a written report on how funds have been used within 9 months of receiving the funds. Withholding, Recovery and Repayment of the Grant The Charity may at its reasonable discretion withhold or suspend payment of the Grant and/or require repayment of all or part of the Grant and/or terminate this Agreement if: the Recipient uses any of the Grant for purposes other than those for which they have been awarded; all activities associated with the Project are not in accordance with all statutory or other regulatory requirements in the country where the Recipient is established in the country where the Project takes place, and in a manner consistent with the good name and reputation of the Charity; the charity considers that the Recipient has not made satisfactory progress with the delivery of the Project; the Recipient provides the Charity with any materially misleading or inaccurate information; Communication The Recipient agrees not to make any press release, media announcement, any other public relations activity, or any other public communication in respect of the Grant or the relationship between the parties without the prior written consent of the Charity, such consent not to be unreasonably withheld. The Recipient may make general and non-detailed references to the Charity’s support of the Recipient during the course of the Project. Limitation of Liability The Charity’s aggregate liability under this Agreement is limited (to the extent permitted by law) to the payment of the Grant in accordance with the terms of this Agreement. Variations No variation of this Agreement shall be effective unless it is in writing and signed by or on behalf of each party. Entire agreement This Agreement is the entire agreement between the parties, and replaces all previous agreements and understandings between them, relating to its subject matter. Governing Law and Jurisdiction Each party to this Agreement irrevocably submits for all purposes in connection with this letter to the exclusive jurisdiction of the courts of England and Wales.
